These are the Terms on which Contracts Online Pty Ltd ACN 159 943 969 (Contracts Online) permits users (referred to as You or Your) to access and use its website www.webcm.com.au and the Contracts Online Portal www.portal.webcm.com.au (together with the Website). For the purposes of these Terms, ‘use’ includes using the services and functionality made available through the Website, viewing content provided by Contracts Online, communicating with Contracts Online and reviewing product information. Your use of the Contracts Online Portal is governed by an End User Licence Agreement, set out at EULA. If these Terms and the End User Licence Agreement are inconsistent in any way, then the End User Licence Agreement prevails to the extent of any inconsistency. By using, browsing or accessing the Website, You acknowledge that you have read these Terms and that you accept and agree to be bound by these Terms.

Contracts Online grants you a non-exclusive and non-transferrable licence to use the Website for your own personal or business use subject to the Terms and, where applicable, the End User Licence Agreement.

Contracts Online collect personal information only where it is essential to our core business or to effectively manage our business relationships with our clients. The information we collect would usually be business contact details. We only collect further information where it’s essential to provide a particular business service. We take into account security and confidentiality when handling personal information in both the physical and electronic environment. The Website may contain links to other websites not owned or controlled by Contracts Online. Contracts Online are not responsible for the privacy practices of those other websites. To the fullest extent permitted by law, Contracts Online excludes all warranties and guarantees, whether express or implied, concerning availability of the Website, quality, completeness, accuracy or suitability in relation to the Website, the conduct of any users, all links to or from the Website and the products and services advertised or accessible on the Website.

10. Liability and Indemnity

Subject to clause 9, Contracts Online excludes all liability for any direct or indirect loss, damage, claim, cost or expense whatsoever arising out of or in connection with these Terms, the Website, the Content and all links to or from the Website. You agree to fully indemnify Contracts Online in respect of all loss, damage, costs, expenses, fines, penalties, claims, demands and proceedings that arise in connection with any of the following:

Contracts Online may at any time terminate or restrict your access to the Website for any reason in its sole discretion and without prior notice.

13. Severability

In the event any of the clauses within these Terms shall be held by a court or other tribunal of competent jurisdiction to be unenforceable, such clauses shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain of full effect and enforceable.

14. Jurisdiction

These Terms are governed by the laws of Victoria, Australia. You submit to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia in respect on all matters arising out of or relating to these Terms.
